1. INTRODUCTION

Welcome to Vibeyug.

Vibeyug is a digital marketplace and professional discovery platform operated by EMEYC Pvt. Ltd. (“EMEYC”, “Vibeyug”, “we”, “us”, or “our”) that connects Creators, creative professionals, Businesses, Clients, organisations, and other eligible Users for professional services and Projects.

Creators may use Vibeyug to create professional profiles, showcase genuine professional portfolios, offer services, discover Projects, submit Proposals, communicate with Clients, enter into Contracts, accept Bookings, and manage professional engagements.

Businesses and Clients may use Vibeyug to discover Creators, publish Projects, receive Proposals, communicate with Creators, enter into Contracts, make Bookings, and manage professional engagements.

These Terms and Conditions (“Terms”) govern your access to and use of the Vibeyug website, mobile applications, software, APIs, marketplace, communication tools, Contract functionality, Booking functionality, payment functionality, and related services (“Platform”).

By accessing, registering for, or using Vibeyug, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional policies or terms expressly incorporated into them.

If you do not agree to these Terms, you must not access or use Vibeyug.

2. DEFINITIONS

For purposes of these Terms:

• 2.1 “Vibeyug”, “we”, “us”, or “our”
  Means Vibeyug and its operator, EMEYC Pvt. Ltd.
• 2.2 “User”
  Means any person, Business, organisation, Creator, Client, or other eligible entity accessing or using Vibeyug.
• 2.3 “Creator”
  Means a photographer, videographer, filmmaker, influencer, model, makeup artist, wedding professional, event professional, decorator, designer, freelancer, agency, creative professional, service provider, or other professional offering services through Vibeyug.
• 2.4 “Business” or “Client”
  Means an individual, company, organisation, event organiser, agency, or other entity seeking to discover, engage, or hire Creators.
• 2.5 “Project”
  Means a job, assignment, event, service requirement, professional engagement, hiring opportunity, or other work opportunity posted, initiated, discovered, introduced, generated, or managed through Vibeyug.
• 2.6 “Vibeyug-Originated Project”
  Means a Project, opportunity, engagement, Creator–Client introduction, hiring opportunity, Proposal, Booking, Contract, or professional relationship that is initiated, introduced, discovered, generated, or materially facilitated through Vibeyug.
• 2.7 “Proposal”
  Means an offer, application, quotation, submission, or response submitted by a Creator in relation to a Project.
• 2.8 “Booking”
  Means an engagement between a Creator and Client relating to a Project or professional service.
• 2.9 “Contract”
  Means an agreement between a Creator and Client, including an agreement created, accepted, or recorded through Vibeyug’s built-in Contract functionality.
• 2.10 “Confidential Project Mode”
  Means Vibeyug’s paid restricted-visibility feature that allows an eligible Business or Client to designate a Project for confidential or restricted visibility in accordance with the functionality provided by Vibeyug.
• 2.11 “User Content”
  Means photographs, videos, text, portfolios, reviews, messages, Project information, Proposals, documents, profile information, and other materials submitted, uploaded, posted, or transmitted by a User.
• 2.12 “Platform Fees”
  Means commissions, service fees, transaction fees, processing fees, subscription fees, feature fees, or other charges applicable to the use of Vibeyug.

3. ELIGIBILITY

Users must meet all applicable legal and eligibility requirements.

Unless otherwise expressly permitted by Vibeyug in accordance with applicable law, Users must be at least 18 years of age to independently create and operate an account.

If you use Vibeyug on behalf of a Business or organisation, you represent that you have authority to act on behalf of that entity.

You may not use Vibeyug if:

• You are legally prohibited from using the Platform;
• Your account has previously been terminated for serious violations and Vibeyug has not authorised your return;
• You intend to use Vibeyug for unlawful purposes; or
• You knowingly provide materially false information.

Vibeyug may request additional information to verify eligibility, identity, Business status, or other relevant information.

4. ACCOUNT REGISTRATION

Certain Vibeyug features require registration.

Users may be required to provide: Name; Email address; Phone number; Account type; Password or authentication information; Professional or Business information; and Other information reasonably required for Platform functionality.

Users agree to provide accurate, current, and complete information.

Users are responsible for:

• Maintaining account security;
• Protecting login credentials;
• Preventing unauthorised access;
• Keeping information updated;
• Not sharing account credentials; and
• Reporting suspected unauthorised access.

Accounts are personal to the registered User unless Vibeyug expressly permits otherwise.

5. ACCOUNT TYPES

Vibeyug may provide different account types and Platform roles.

5.1 Creator Account

Creators may: Create professional profiles; Maintain professional portfolios; List services; Discover Projects; Submit Proposals; Communicate with Clients; Accept Bookings; Enter into Contracts; Manage Projects; and Receive ratings and reviews.

5.2 Business / Client Account

Businesses and Clients may: Create Business profiles; Discover Creators; Publish Projects; Receive Proposals; Communicate with Creators; Hire Creators; Enter into Contracts; Create Bookings; Manage Projects; and Use Confidential Project Mode where available.

Vibeyug may introduce additional account types, features, or roles.

6. CREATOR RESPONSIBILITIES

Creators are responsible for ensuring that their profiles, portfolios, service listings, Proposals, and other information are truthful, accurate, lawful, and professionally relevant.

Creators must:

• Provide truthful professional information;
• Maintain a genuine professional portfolio;
• Upload only content they are authorised to use;
• Accurately represent their experience and capabilities;
• Clearly describe their services;
• Honour accepted commitments;
• Communicate professionally;
• Respect Client confidentiality;
• Respect intellectual-property rights;
• Comply with applicable law; and
• Avoid deliberate Platform-fee circumvention.

Creators must not:

• Misrepresent qualifications or experience;
• Upload stolen or unauthorised content;
• Create fake portfolios;
• Create or manipulate fake reviews;
• Fraudulently represent work as their own;
• Accept Projects they cannot reasonably perform;
• Harass, threaten, abuse, or discriminate against other Users;
• Use Vibeyug for unlawful activity; or
• Deliberately circumvent Vibeyug’s applicable fees or transaction systems.

7. PORTFOLIO-ONLY CONTENT REQUIREMENT

Vibeyug is a professional marketplace and portfolio platform, and the Portfolio feature is intended primarily for showcasing genuine professional work.

Creators must use Portfolio functionality to showcase: Professional work; Completed Projects; Creative work; Professional services; Skills and capabilities; or Other work reasonably relevant to the Creator’s professional profile.

The Portfolio feature must not be used primarily as a general-purpose personal photo gallery or image-storage service.

Creators should not upload: Random personal photographs; Unrelated photographs; Generic image collections; Spam; Repetitive content; Misleading material; or Material having no reasonable connection to the Creator’s professional services.

A photograph is permitted where it forms part of a legitimate professional portfolio or reasonably demonstrates the Creator’s professional work or capabilities.

Vibeyug may use automated and/or manual review mechanisms to maintain the quality, relevance, safety, authenticity, and integrity of Portfolio content.

Vibeyug may review, reject, restrict, hide, or remove Portfolio content where it reasonably determines that the content:

• Is not reasonably connected to professional portfolio use;
• Is merely personal or unrelated content;
• Is misleading or deceptive;
• Is spam or repetitive;
• Infringes intellectual-property rights;
• Violates privacy or confidentiality;
• Contains prohibited or unlawful material;
• Contains malicious software; or
• Otherwise violates these Terms or applicable Platform policies.

Removal or restriction of Portfolio content does not transfer ownership of that content to Vibeyug.

Creators remain responsible for ensuring that they possess all necessary rights, permissions, licences, releases, and consents relating to materials uploaded to their Portfolio.

8. BUSINESS AND CLIENT RESPONSIBILITIES

Businesses and Clients are responsible for providing accurate, lawful, and sufficiently clear Project information.

Businesses and Clients must:

• Provide accurate Project descriptions;
• Provide accurate budgets and timelines;
• Communicate professionally;
• Honour accepted Contracts and Bookings;
• Make agreed payments;
• Respect Creator rights;
• Respect confidentiality;
• Respect intellectual-property rights; and
• Comply with applicable laws.

Businesses and Clients must not:

• Publish fraudulent Projects;
• Request illegal services;
• Misrepresent Project requirements;
• Deliberately obtain substantial unpaid professional work through misleading Project requirements;
• Harass, threaten, abuse, or discriminate against Creators;
• Use Vibeyug for unlawful purposes; or
• Deliberately circumvent Vibeyug’s applicable commissions or fees.

9. PROJECTS

Businesses and Clients may create Projects through Vibeyug.

A Project may include: Project title; Description; Category; Required skills; Budget; Location; Event date; Timeline; Deliverables; Requirements; Attachments; and Other relevant information.

Businesses and Clients are responsible for the accuracy and legality of their Project information.

Vibeyug may reject, restrict, modify, hide, or remove Projects that violate these Terms, applicable law, or Platform policies.

10. VIBEYUG-ORIGINATED PROJECTS

A Project or engagement may be considered a Vibeyug-Originated Project where the relevant opportunity or professional relationship is initiated, introduced, discovered, generated, or materially facilitated through Vibeyug.

This includes situations where:

• A Client discovers a Creator through Vibeyug;
• A Creator responds to a Vibeyug Project;
• A Client contacts a Creator through Vibeyug;
• A Creator is introduced to a Client through Vibeyug;
• A Proposal is submitted through Vibeyug;
• A Booking originates through Vibeyug;
• A Contract is created or accepted through Vibeyug; or
• The parties use Vibeyug’s Project, Proposal, messaging, Contract, Booking, or marketplace functionality to establish the engagement.

Where Vibeyug provides Project, Contract, Booking, payment, milestone, or transaction-management functionality for such engagement, Users are expected to use the applicable Vibeyug system for the corresponding engagement.

This requirement reflects the marketplace services and infrastructure provided by Vibeyug in creating, facilitating, documenting, and managing the opportunity.

11. PROPOSALS

Creators may submit Proposals for Projects.

A Proposal may include: Proposed price; Cover letter; Estimated timeline; Portfolio references; Deliverables; Attachments; and Other relevant information.

Submitting a Proposal does not guarantee selection. Clients are responsible for evaluating Proposals before accepting them.

Creators are responsible for ensuring that their Proposals are truthful and not misleading.

12. BOOKINGS AND CONTRACTS

Following selection of a Creator, the parties may enter into a Booking or Contract.

Where Vibeyug provides an in-built Contract system, the parties may use that system to create and record their agreed terms.

The parties should clearly establish, where applicable: Scope of work; Deliverables; Price; Payment schedule; Milestones; Timeline; Event date; Location; Revision requirements; Cancellation terms; Intellectual-property rights; Confidentiality obligations; Expenses; and Other material terms.

Users are responsible for carefully reviewing a Contract before accepting it.

Unless expressly stated otherwise, Vibeyug does not guarantee that either party will perform its contractual obligations.

13. PLATFORM TRANSACTION REQUIREMENT

Where a Vibeyug-Originated Project results in a Booking, Contract, paid engagement, or other commercial transaction and Vibeyug provides an applicable transaction-management system, Users must not intentionally move the same transaction outside Vibeyug for the purpose of avoiding applicable Platform Fees.

Where applicable, Users should use Vibeyug’s systems for: Contract creation; Booking; Payment; Milestones; Project status; Completion; Cancellation; and Transaction records.

Users may communicate outside Vibeyug where such communication is otherwise lawful and permitted, but must not use off-platform communication or payment arrangements to deliberately circumvent applicable Vibeyug Fees.

14. COMMISSION AND FEE CIRCUMVENTION

Users must not intentionally circumvent Vibeyug’s applicable commissions, Platform Fees, transaction charges, or other charges.

Circumvention may include:

• Discovering or introducing a Creator or Client through Vibeyug and deliberately completing the same engagement outside Vibeyug primarily to avoid Platform Fees;
• Encouraging another User to bypass Vibeyug’s Booking or payment system;
• Cancelling a Vibeyug Booking and deliberately recreating substantially the same engagement outside Vibeyug to avoid fees;
• Providing or requesting alternative payment arrangements specifically intended to avoid Vibeyug’s commission;
• Using another account, person, Business, or entity to conceal a Vibeyug-Originated transaction; or
• Otherwise deliberately attempting to deprive Vibeyug of applicable fees.

Where Vibeyug reasonably determines that deliberate commission circumvention has occurred, Vibeyug may, subject to applicable law and its contractual rights:

• Suspend or restrict the account;
• Terminate the account;
• Restrict access to Projects or Bookings;
• Cancel or restrict relevant Platform transactions;
• Recover applicable unpaid fees where legally permissible; and/or
• Take other contractual or legal action available to it.

This provision does not prevent Users from entering into unrelated business relationships that did not originate through Vibeyug.

15. CONFIDENTIAL PROJECT MODE

15.1 Purpose

Vibeyug may provide Businesses and Clients with Confidential Project Mode for Projects requiring restricted visibility or confidential treatment. The feature is intended for legitimate business, commercial, strategic, event, hiring, creative, or professional circumstances where a Client does not wish to publicly disclose the full details of a Project.

15.2 Fee

The standard fee for Confidential Project Mode is: ₹1,999 per Project unless a different amount is expressly displayed by Vibeyug at the time of purchase. The ₹1,999 fee is a fee for the Confidential Project Mode feature and does not waive any applicable Vibeyug commission, transaction fee, payment-processing fee, or other Platform Fee.

15.3 Restricted Visibility

When Confidential Project Mode is activated, Vibeyug may restrict public visibility of Project information, including: Project description; Business requirements; Budget; Attachments; Client-provided materials; Project-specific information; and Other information designated as confidential.

Information may remain accessible to selected Creators, Users involved in the Project, Vibeyug personnel, contractors, infrastructure providers, payment providers, or other service providers where reasonably necessary to operate, secure, administer, or provide the Platform, or where required by law.

15.4 No Absolute Confidentiality Guarantee

Confidential Project Mode provides restricted visibility and confidentiality-oriented Platform controls. It does not constitute an absolute guarantee that information will never be accessed, disclosed, copied, intercepted, independently obtained, or otherwise become known.

Vibeyug will apply reasonable measures appropriate to the Platform and applicable law to protect information entrusted to it. Users remain responsible for determining what information they choose to disclose through Vibeyug.

15.5 User Confidentiality Obligations

A User receiving information through a Confidential Project must not knowingly disclose, misuse, reproduce, or distribute confidential Project information except: As necessary to evaluate or perform the Project; With the Client’s permission; As required by law; or As otherwise permitted under an applicable Contract.

Where the parties enter into a separate confidentiality or non-disclosure agreement, that agreement may impose additional obligations.

15.6 Client Responsibility

A Client using Confidential Project Mode represents that it has the right to provide the information uploaded to Vibeyug. Clients should not upload information that they are legally prohibited from disclosing to Vibeyug or that requires security or confidentiality protections beyond those expressly provided by Vibeyug.

15.7 No Commission Waiver

Payment of the ₹1,999 Confidential Project Mode fee does not: Waive Vibeyug commissions; Permit commission circumvention; Permit deliberate off-platform transaction avoidance; Waive Contract or Booking requirements; Transfer intellectual-property ownership; or Exempt the User from these Terms or applicable law.

16. PAYMENTS AND FEES

Vibeyug may charge: Platform commissions; Creator service fees; Client service fees; Transaction fees; Payment-processing fees; Subscription charges; Feature charges; Confidential Project Mode fees; Cancellation-related charges; and Other charges associated with specific Platform services.

Applicable fees will be displayed where reasonably practicable before completion of the relevant transaction.

Third-party payment providers may process payments. Users must provide accurate payment information and comply with applicable payment-provider requirements.

Vibeyug may modify its fee structure from time to time, subject to applicable law and any notice requirements.

17. PAYMENTS THROUGH VIBEYUG

Where payment functionality is provided through Vibeyug, Users agree to follow the applicable payment process.

Depending on the feature, Vibeyug may facilitate: Client payments; Creator payouts; Milestone payments; Refunds; Platform commissions; Transaction records; and Other payment-related functionality.

Payment services may be provided through third-party payment gateways, banks, processors, or other financial service providers. Vibeyug does not guarantee uninterrupted operation of third-party payment services.

18. OFF-PLATFORM PAYMENTS AND TRANSACTIONS

If Users voluntarily conduct a transaction independently outside Vibeyug, Vibeyug may have no control over or visibility into that transaction.

Subject to applicable law, Vibeyug will not be responsible for losses, claims, payment delays, non-payment, fraud, misrepresentation, non-performance, cancellation, defective services, disputes, or other consequences arising solely from an independently conducted off-platform transaction.

Nothing in this provision:

• Relieves a User from obligations under a separate Contract;
• Prevents Vibeyug from taking action against suspected fraud, abuse, or commission circumvention;
• Excludes liability arising from Vibeyug’s own acts or omissions where such liability cannot lawfully be excluded; or
• Limits any statutory right or remedy that cannot legally be excluded or waived.

Users are strongly encouraged to use Vibeyug’s Contract, Booking, milestone, and payment systems where available.

19. REFUNDS AND CANCELLATIONS

Refunds and cancellations may depend on: The applicable Contract; Booking terms; Payment-provider rules; Project status; Services already performed; Reason for cancellation; Applicable Platform policies; and Applicable law.

Where Vibeyug publishes a separate Refund or Cancellation Policy, that policy forms part of these Terms.

Vibeyug may assist in resolving transaction-related complaints but does not guarantee a particular outcome unless expressly stated in an applicable policy or Contract.

20. COMMUNICATION

Vibeyug may provide messaging and communication tools.

Users must not use communication tools to: Harass or threaten others; Send malicious files; Conduct scams or fraud; Distribute spam; Share unlawful content; Attempt unauthorised account access; Circumvent security controls; Deliberately facilitate commission circumvention; or Engage in other prohibited activity.

Vibeyug may use reasonable automated and manual measures to detect spam, abuse, fraud, malware, security threats, and violations of these Terms, subject to applicable law.

21. USER CONTENT

Users retain ownership of content they create and upload, subject to the rights granted to Vibeyug under these Terms.

By uploading User Content, you grant Vibeyug a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, format, distribute, and technically process the content as reasonably necessary to:

• Operate Vibeyug;
• Display profiles;
• Display legitimate portfolios;
• Facilitate discovery;
• Provide marketplace services;
• Facilitate Projects and Bookings;
• Maintain security;
• Promote Vibeyug and its features; and
• Maintain and improve the Platform.

This licence does not transfer ownership of the underlying intellectual property to Vibeyug.

Users represent that: They own the content or have appropriate permission to use it; Their content does not unlawfully infringe another person’s rights; Their content complies with applicable law; and Their content does not contain malicious software.

22. INTELLECTUAL PROPERTY

Vibeyug’s software, branding, trademarks, logos, design, interface, databases, systems, and other Platform materials are owned by or licensed to EMEYC Pvt. Ltd. and are protected by applicable intellectual-property laws.

Users must not: Copy Vibeyug’s software or design; Reverse engineer the Platform except where legally permitted; Use Vibeyug trademarks without permission; Scrape or reproduce substantial Platform data without authorisation; or Use Vibeyug’s intellectual property to create a competing service without appropriate rights.

Creators retain ownership of their own work unless otherwise agreed. Uploading Portfolio material does not transfer ownership to Vibeyug.

23. COPYRIGHT AND INTELLECTUAL-PROPERTY COMPLAINTS

If you believe content on Vibeyug infringes your copyright or other intellectual-property rights, you may contact Vibeyug with sufficient information identifying: The protected work; The allegedly infringing content; The location of the content; Your contact information; The basis of your claim; and Other information reasonably required to investigate the complaint.

Vibeyug may remove, restrict, or disable allegedly infringing material where appropriate and permitted by law.

24. REVIEWS AND RATINGS

Vibeyug may allow Users to provide ratings and reviews following Projects or Bookings.

Reviews must: Reflect genuine experiences; Be truthful and reasonably accurate; Not contain unlawful threats; Not contain harassment or discrimination; Not be created through fake accounts; and Not be manipulated through fraudulent activity.

Users must not: Create fake reviews; Purchase fake reviews; Exchange reviews for misleading incentives; Artificially manipulate ratings; or Coordinate rating manipulation.

Vibeyug may remove reviews that violate these Terms or applicable policies.

25. PROHIBITED ACTIVITIES

Users must not use Vibeyug to:

• Commit fraud;
• Impersonate another person or Business;
• Create deceptive accounts;
• Upload malicious software;
• Attempt unauthorised access;
• Scrape Platform information without authorisation;
• Circumvent Platform security;
• Manipulate ratings;
• Facilitate unlawful financial activity;
• Promote unlawful goods or services;
• Publish unlawful or abusive content;
• Harass, threaten, exploit, or abuse Users;
• Distribute spam;
• Infringe intellectual-property rights;
• Collect personal information without proper authorisation;
• Circumvent Platform Fees;
• Deliberately move Vibeyug-Originated Projects off-platform to avoid commission; or
• Otherwise violate applicable law.

26. VERIFICATION

Vibeyug may provide identity, Business, Creator, professional, or other verification features.

Verification indicates that Vibeyug has completed the applicable verification process.

Verification does not guarantee: Professional quality; Future performance; Financial reliability; Successful Project completion; Business solvency; Personal character; Accuracy of every statement made by a User; or Future conduct.

Users remain responsible for independently evaluating potential business relationships.

27. THIRD-PARTY SERVICES

Vibeyug may integrate with third-party services, including: Payment providers; Cloud infrastructure; Authentication providers; Communication services; Analytics services; Storage services; and Other technology providers.

Third-party services may have separate terms and privacy policies.

Vibeyug is not responsible for independent third-party actions, policies, availability, or failures, except to the extent liability cannot lawfully be excluded.

28. PLATFORM AVAILABILITY

Vibeyug aims to provide a reliable service but does not guarantee uninterrupted or error-free operation.

The Platform may be temporarily unavailable because of: Maintenance; Updates; Security incidents; Network failures; Infrastructure problems; Third-party service failures; Force majeure events; or Other circumstances outside Vibeyug’s reasonable control.

Vibeyug may modify, suspend, or discontinue features where reasonably necessary.

29. ACCOUNT SUSPENSION AND TERMINATION

Vibeyug may suspend, restrict, or terminate an account where reasonably necessary, including where a User:

• Violates these Terms;
• Provides materially false information;
• Engages in fraud;
• Misuses the Platform;
• Threatens Platform security;
• Violates applicable law;
• Repeatedly engages in serious misconduct;
• Attempts commission circumvention;
• Misuses Confidential Project Mode; or
• Creates significant risk to Vibeyug or other Users.

Where appropriate, Vibeyug may provide notice and an opportunity to address the issue.

Immediate action may be taken where reasonably necessary to protect Users, Platform security, legal interests, or the integrity of the Platform.

Users may request account closure subject to outstanding obligations and applicable law.

30. EFFECT OF TERMINATION

Following termination: Platform access may be disabled; Public profile information may be removed or restricted; Active Projects or Bookings may be affected; Certain records may be retained where reasonably necessary; Confidentiality obligations may continue; Intellectual-property obligations may continue; and Other provisions that by their nature survive termination will remain effective.

Termination does not automatically cancel obligations already created between Users unless the applicable Contract, Platform policy, or law provides otherwise.

31. USER DISPUTES

Vibeyug primarily facilitates connections between Creators and Clients. Users are encouraged to resolve disputes directly and professionally.

Where Vibeyug provides a dispute-support process, Users may submit relevant information.

Vibeyug may, subject to applicable law: Review relevant Platform records; Request information from the parties; Facilitate communication; Temporarily restrict activity; Apply Platform policies; and Take action against accounts that violate these Terms.

Unless expressly agreed otherwise, Vibeyug does not act as a court, arbitrator, lawyer, or legal representative for either party.

32. VIBEYUG’S ROLE AND RESPONSIBILITIES

Vibeyug provides marketplace and technology infrastructure designed to facilitate professional discovery, communication, contracting, Booking, and transaction management.

Unless expressly stated otherwise, Vibeyug is not a party to the underlying service Contract between a Creator and Client.

Vibeyug does not guarantee: The identity of every User; The qualifications of every Creator; The legitimacy of every Business; The solvency of a User; The quality of services; The completion of a Project; The performance of a Creator or Client; Payment by another User; or The outcome of a commercial relationship.

Where Vibeyug expressly assumes a specific obligation under a particular Platform feature, that obligation will be governed by the applicable feature-specific terms.

33. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, Vibeyug is provided on an “as is” and “as available” basis.

Vibeyug does not guarantee that: The Platform will always be available; User information will always be accurate; Every Creator will be suitable; Every Business or Client will be suitable; Every Project will be completed; Every payment will be made on time; A User will receive a particular level of income, work, bookings, or business opportunities; The Platform will always be free from errors; or Third-party services will always operate without interruption.

Users are responsible for independently evaluating Creators, Clients, Projects, Contracts, and business relationships.

34. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Vibeyug and EMEYC Pvt. Ltd. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from the use of the Platform or interactions between Users.

Without limiting the foregoing, Vibeyug does not guarantee: The identity, qualifications, reliability, solvency, or conduct of another User; The quality or legality of services offered by a Creator; The accuracy of User-generated information; Successful completion of a Project; Performance of a Creator or Client; Payment by another User; Availability of a User; Uninterrupted Platform availability; or The outcome of a transaction between Users.

Vibeyug will not be responsible for losses arising solely from fraud, non-payment, delay, cancellation, non-performance, or other misconduct by one User against another, except to the extent such loss results from Vibeyug’s own acts or omissions or liability cannot lawfully be excluded.

Nothing in these Terms excludes, restricts, or limits:

• Liability that cannot legally be excluded or limited;
• Statutory rights or remedies that cannot lawfully be waived;
• Liability arising from fraud or fraudulent misrepresentation by Vibeyug;
• Liability arising from wilful misconduct where such limitation is prohibited by law; or
• Any other liability that applicable law requires to remain with Vibeyug.

35. NO WAIVER OF STATUTORY RIGHTS

Nothing in these Terms is intended to exclude, restrict, or waive any right, remedy, protection, or liability that cannot lawfully be excluded, restricted, or waived under applicable Indian law.

Where any provision conflicts with a mandatory provision of applicable law, the mandatory legal provision will prevail to the extent of the conflict. The remaining provisions will continue to apply.

Nothing in these Terms prevents a User from exercising rights available under applicable consumer, privacy, information-technology, contract, or other laws.

36. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless EMEYC Pvt. Ltd., Vibeyug, and their officers, employees, contractors, representatives, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

• Your violation of these Terms;
• Your violation of applicable law;
• Your User Content;
• Your infringement of another person’s rights;
• Your misuse of the Platform;
• Fraudulent or deceptive activity by you;
• Your contractual or commercial relationship with another User; or
• Your deliberate circumvention of Vibeyug’s applicable fees or transaction systems.

This indemnification obligation does not require you to indemnify Vibeyug for losses caused by Vibeyug’s own unlawful conduct or liabilities that cannot lawfully be transferred to you.

37. CHANGES TO THE PLATFORM

Vibeyug may add, modify, remove, or discontinue Platform features. This may include: New marketplace categories; Subscription plans; Premium features; Verification services; Payment services; Confidential Project Mode; Contract functionality; Booking functionality; Administrative features; and Other Platform services.

Where changes materially affect these Terms, Vibeyug may update the Terms and provide notice where required.

38. CHANGES TO THESE TERMS

Vibeyug may update these Terms from time to time.

For material changes, Vibeyug may notify Users through: The Platform; Email; In-app notifications; or Other reasonable communication methods.

The revised Terms will include an updated “Last Updated” date. Continued use of Vibeyug after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

39. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to applicable law, disputes relating to Vibeyug or these Terms shall be subject to the jurisdiction of the appropriate courts in India.

Nothing in this section prevents a User from exercising a legal right or remedy that cannot lawfully be waived.

40. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will, to the extent legally permissible, be interpreted or modified to make it lawful and enforceable. The remaining provisions will continue in full force and effect.

41. ENTIRE AGREEMENT

These Terms, together with:

• Vibeyug’s Privacy Policy;
• Refund and Cancellation Policy;
• Creator Policies;
• Business/Client Policies;
• Community and Content Policies;
• applicable Contract and Booking terms; and
• other additional terms expressly incorporated by Vibeyug

constitute the agreement governing your use of Vibeyug.

Additional terms may apply to specific Platform services, subscriptions, transactions, promotional programmes, Confidential Project Mode, or other features.
